Terms of Service
Last updated: September 11, 2026
These Terms of Service ("Terms") are an agreement between Autogration, LLC ("Autogration", "we", "us") and the business that uses AutoSync ("Customer", "you"). They cover the AutoSync service and our websites.
By creating an account, installing AutoSync from an app marketplace, clicking to accept these Terms, or using the Service, you agree to them. If you accept on behalf of a company, you confirm that you are authorized to bind it. The Service is for businesses only — not for consumers, and not for anyone under 18.
If you were already using the Service before September 11, 2026: these Terms replace the previous version on October 11, 2026. Until then, the previous version still applies to you. If you do not agree with these Terms, you may cancel before that date — see Fees, billing, and cancellation.
1. Definitions
- "Service" — AutoSync, including the product previously sold as MB Sync, the embedded app inside your CRM, the agency portal, our APIs, workflow actions and triggers, and our websites.
- "Connected Platform" — a third-party service you connect to the Service, for example Mindbody, Booker, or HighLevel.
- "Customer Data" — data you or your Connected Platforms send to or through the Service, including information about your clients, their appointments, and their purchases.
- "Authorized User" — anyone you allow to use the Service on your behalf, including your staff and any agency that manages your CRM.
2. Accounts and Authorized Users
- You agree to give us accurate account information and to keep it current.
- You are responsible for what your Authorized Users do in the Service and for keeping credentials confidential. Tell us promptly at [email protected] if you suspect unauthorized access.
- If you are an agency installing or configuring the Service for a client's sub-account, you confirm that you are authorized to accept these Terms on that client's behalf, and you remain responsible for how the account is used.
3. The Service and Connected Platforms
- The Service moves data between your Connected Platforms. You are responsible for maintaining your own accounts with them and for complying with their terms.
- We are independent of the Connected Platforms. They may change, limit, or discontinue their APIs at any time, which can change or interrupt how the Service works.
- We may add, change, or remove features. If we materially reduce a feature you rely on, you may cancel as described in section 8.
4. Sync accuracy and your responsibilities
- Your booking platform remains your system of record. The Service is a convenience layer on top of it.
- Synchronization can be delayed, incomplete, or wrong — including bookings that do not appear in both systems, duplicate or conflicting bookings, availability that does not match, and fields that do not update. Causes include Connected Platform outages, API limits and changes, how the account is configured, and our own errors.
- You are responsible for reviewing the alerts, activity log, and notifications we provide, and for confirming anything that matters — a booking, a cancellation, a payment — in the platform of record.
- You control the automations in your CRM. Data the Service writes may trigger your workflows, including messages to your clients. You are responsible for those automations and for holding the consents those messages require, including under telephone and email marketing laws.
5. Your data
- You own your Customer Data. You give us permission to host, process, transmit, and display it as needed to provide, support, secure, and improve the Service.
- You are responsible for your Customer Data: that it is lawful, and that you hold the rights and consents needed to send it to us and to have it written to your Connected Platforms.
- We may create and use aggregated, de-identified data — for example, benchmarks across businesses — that does not identify you, your business, or any individual.
- We use service providers to run the Service, including hosting, content delivery, email delivery, payment processing, and AI providers that power support features. They may process Customer Data on our behalf under confidentiality obligations.
- We use commercially reasonable administrative, technical, and physical measures to protect Customer Data. No system is perfectly secure, and we cannot guarantee that Customer Data will never be accessed without authorization.
- Our Privacy Policy describes how we handle personal information.
6. Protected health information and sensitive data
- The Service is not designed or offered for protected health information ("PHI") regulated by HIPAA. Autogration does not act as a business associate and does not sign business associate agreements, except where it has agreed to do so in a separate written agreement signed by an authorized officer of Autogration.
- Unless such an agreement is in effect, you must not use the Service to create, receive, maintain, or transmit PHI, and you represent that the data you connect to the Service does not include PHI.
- You are responsible for determining whether HIPAA or any other health-privacy law applies to your business and your data. If your business provides health or wellness services, you are responsible for the notices and consents those laws require, and for configuring the Service — including note sync — accordingly.
- Do not send payment card numbers, Social Security or government identification numbers, or financial account numbers through the Service.
- We may suspend or terminate an account that we reasonably believe is processing PHI or other prohibited data without an agreement that permits it.
7. Acceptable use
You agree not to:
- use the Service unlawfully, or to send unsolicited or unconsented messages;
- upload malicious code, or probe, scan, or try to breach the Service;
- interfere with the Service's operation, or exceed documented API limits or otherwise place an unreasonable load on our systems;
- reverse engineer the Service or copy its features; or
- resell or provide the Service to anyone else, except as an agency managing your own clients.
8. Fees, billing, and cancellation
- Direct subscriptions. If you subscribe directly from us, fees are paid in advance and the subscription renews automatically for successive periods until canceled. Payments are handled by our payment processor.
- Marketplace subscriptions. If you subscribed through an app marketplace rather than directly from us, that marketplace handles billing, renewals, and cancellations under its own terms. These Terms still govern your use of the Service.
- Cancellation. You may cancel at any time. Cancellation takes effect at the end of the current billing period, and the Service keeps running until then. We do not give refunds or credits for partial periods, except where the law requires it.
- Free trials. If we offer a trial, it runs for the period stated when you sign up. Continuing past the trial requires a paid subscription.
- Failed payments. If a payment fails, we may suspend the Service until it is paid.
- Price changes. We may change prices with at least 30 days' notice by email or in the app. Changes apply at your next renewal.
- Taxes. Fees exclude taxes, which are your responsibility, other than taxes on our income.
9. Term, suspension, and termination
- These Terms apply for as long as you use the Service.
- We may suspend the Service immediately if you materially breach these Terms, fail to pay, or use the Service unlawfully or in a way that risks harm to us, to your clients, or to our other customers — including sending PHI without an agreement that permits it. Where it is practical to do so, we will tell you first.
- Either party may end these Terms for convenience: you by canceling; we by giving you at least 30 days' notice, in which case we will refund prepaid fees covering the period after termination.
- When these Terms end, your access to the Service ends. Your data inside your Connected Platforms is not affected.
- Data after termination. If you ask us in writing to delete your Customer Data, we will do so within 60 days — except for copies in routine backups and logs that expire on their own schedule, and anything we are required to keep by law.
- Sections 5 through 7 and 10 through 15 survive termination.
10. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE". TO THE FULLEST EXTENT PERMITTED BY LAW, AUTOGRATION DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, THAT IT WILL SYNCHRONIZE WITHOUT DELAY OR OMISSION, OR THAT DATA IN ANY SYSTEM WILL BE ACCURATE OR COMPLETE. WE ARE NOT RESPONSIBLE FOR CONNECTED PLATFORMS OR FOR WHAT THEY DO OR FAIL TO DO.
11. Limitation of liability
NEITHER PARTY IS LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST REVENUE, LOST BOOKINGS, LOST GOODWILL, OR LOST OR CORRUPTED DATA, EVEN IF ADVISED OF THE POSSIBILITY.
AUTOGRATION'S TOTAL LIABILITY ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS PAID OR PAYABLE FOR YOUR SUBSCRIPTION IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100).
These limits do not apply to your obligation to pay fees or to your indemnification obligations below.
12. Your indemnification of Autogration
You will defend, indemnify, and hold harmless Autogration and its owners, employees, and contractors from third-party claims, damages, and costs (including reasonable legal fees) arising from: your Customer Data; your use of the Service in breach of these Terms or of law, including processing PHI without an agreement that permits it and sending messages without the required consent; your automations and Connected Platform configuration; and disputes between you and your clients.
13. Changes to the Service and these Terms
We may update these Terms. For material changes we will give at least 30 days' notice by email or in the app before they take effect, except where a change is needed for legal or security reasons. Continuing to use the Service after a change takes effect means you accept the updated Terms; if you do not accept them, cancel before the effective date.
14. Governing law and disputes
These Terms are governed by the laws of the State of Wyoming, without regard to its conflict-of-laws rules. Both parties submit to the exclusive jurisdiction of the state and federal courts located in the State of Wyoming and waive any objection to venue there. Before filing anything, please email us at [email protected] so we can try to sort the problem out.
15. General
- Signed agreements control. If you and Autogration have signed a separate written agreement covering the Service — for example an enterprise agreement or a business associate agreement — that agreement controls wherever it conflicts with these Terms.
- Entire agreement. These Terms, together with our Privacy Policy and any separate signed agreement, are the entire agreement about the Service.
- Assignment. You may not assign these Terms without our written consent. We may assign them in connection with a merger, acquisition, or sale of assets.
- Force majeure. Neither party is liable for delays or failures caused by events outside its reasonable control, including outages of Connected Platforms, hosting providers, or the internet.
- Notices. We send notices to the email address on your account. Send notices to us at [email protected].
- Severability and waiver. If any provision is unenforceable, the rest stays in effect. Delay in enforcing a right is not a waiver of it.
- Independent parties. The parties are independent contractors. These Terms create no partnership, agency, or employment relationship, and no third-party beneficiaries.
